PURCHASE TERMS & CONDITIONS

1. Definitions

1.1. Company: INVINO LLC 1.2. Customer: The entity or individual purchasing products from the Company. 1.3. Products: Portugal wine and Italian desserts offered by the Company. 1.4. Order: A request by the Customer to purchase Products from the Company. 1.5. Agreement: These Purchase Terms & Conditions.

2. Orders

2.1. All Orders must be submitted in writing via email, site or through the Company’s ordering system. 2.2. Orders are subject to acceptance by the Company, which will be confirmed in writing. 2.3. The Company reserves the right to refuse any Order at its discretion.

3. Pricing and Payment

3.1. Prices are subject to change without notice but will not affect Orders already confirmed. 3.2. Payment terms are Net 15 days from the date of invoice unless otherwise agreed in writing. 3.3. Payments must be made in [currency] via bank transfer, credit card, or other approved methods.

4. Delivery

4.1. Delivery dates are estimates and not guaranteed. The Company will make every effort to meet the delivery dates. 4.2. Risk of loss and title for the Products pass to the Customer upon delivery to the carrier. 4.3. The Customer is responsible for any shipping and handling charges unless otherwise agreed in writing.

5. Inspection and Acceptance

5.1. The Customer must inspect the Products upon delivery. 5.2. Any claims for shortages, defects, or damages must be made in writing within 7 days of delivery. 5.3. If no claim is made within the specified period, the Products will be deemed accepted.

6. Returns and Refunds

6.1. Returns are subject to the Company’s return policy, which will be provided upon request. 6.2. Custom or special orders are non-returnable and non-refundable.

7. Warranties

7.1. The Company warrants that the Products will conform to the specifications provided. 7.2. All other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, are excluded.

8. Limitation of Liability

8.1. The Company’s liability for any claim arising out of or relating to the Products will not exceed the purchase price paid by the Customer. 8.2. The Company will not be liable for any indirect, special, or consequential damages.

9. Force Majeure

9.1. The Company will not be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, war, terrorism, labor disputes, or governmental actions.

10. Governing Law and Dispute Resolution

10.1. This Agreement will be governed by and construed in accordance with the laws of [jurisdiction]. 10.2. Any disputes arising out of or relating to this Agreement will be resolved through negotiation. If negotiation fails, the dispute will be settled by arbitration in [jurisdiction].

11. Miscellaneous

11.1. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings. 11.2. Any amendments or modifications to this Agreement must be in writing and signed by both parties. 11.3. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
